1. Supplier and authority
The contracting supplier is Design Review Ltd, company number 06512522, of 5 Barnfield Crescent, Exeter, Devon, United Kingdom, EX1 1QT. The person ordering confirms that they are authorised to commit the named organisation at the displayed fee plus VAT.
2. Orders, invoices and purchase orders
An online order creates a reference and invoice document. A pro-forma is a request for payment and is not a VAT invoice. A compliant VAT invoice is issued with the applicable tax point and supplier details. Where a public body requires a purchase order or supplier onboarding, access or delivery may begin only when Design Review Ltd has accepted those terms in writing. The client remains responsible for its procurement route, standing orders, delegated authority and publication obligations.
3. Digital products: payment, access and licence
The Health Check, Model Documents Pack and bundle are licensed to one purchasing organisation for one named design review arrangement. Payment is due on receipt. Access is not activated until secure online bank payment is authorised, cleared invoice payment is recorded, or Design Review Ltd has accepted public-sector purchase-order terms in writing. Controlled sharing is permitted within the purchaser and with its external provider and professional advisers solely to assess or improve the named arrangement. Resale, public distribution, sublicensing, reuse by an adviser across clients and use for another arrangement require a further licence.
4. Digital product boundary
Health Check outputs are generated from the purchaser's own responses and are not independently validated. Model documents are adaptable starting points and require local review. Neither product provides legal, procurement or regulatory advice, an audit opinion, certification, accreditation, guaranteed compliance or independent assurance. The £500 Health Check fee is not credited against a later independent review.
5. Review acceptance, conflicts and independence
Standard and Enhanced review dates remain provisional until Design Review Ltd has completed an assignment-specific conflicts and scope check. If an arrangement is delivered by another commercial design review provider, Tim Burton or Andy Robbins leads rather than Jonathan Braddick. If a conflict cannot be acceptably managed, the appointment is declined and any payment received is returned.
Design Review Ltd separately provides design review services that are typically commissioned and funded by applicants. This interest is disclosed at appointment and has no bearing on the conduct or findings of a governance review.
6. Review payment and programme
Review appointments must normally be requested at least 21 calendar days ahead. Cleared funds must be received no later than 14 calendar days before the evidence meeting unless accepted public-sector purchase-order or onboarding terms state otherwise. Design Review Ltd may release a provisional date if that condition is not met. Delivery dates depend on complete, readable evidence and required participants being available.
7. Scope and change
The Standard Review covers one legal entity and one review arrangement, up to 12 core documents or 250 pages, one 75-minute evidence meeting, a concise findings report, a 45-minute senior read-out and one factual- correction round. Enhanced scope, peer review, stakeholder discussions, workshops, travel and follow-up are confirmed in writing. Material additions or changed assumptions require an agreed variation before work begins.
8. Information, confidentiality, FOIA and EIR
Each party will protect non-public information using reasonable safeguards and limit access to the agreed recipient group. The client is responsible for ensuring it may lawfully provide the information. Confidentiality is qualified by applicable law, regulation, court order and the client's obligations under the Freedom of Information Act 2000 and Environmental Information Regulations 2004. Design Review Ltd will provide reasonable assistance with a disclosure request affecting its information, but the public authority remains responsible for the statutory decision. Nothing requires either party to breach a legal duty.
9. Cancellation and digital supply
A date change is subject to reviewer availability and the payment lead time. If a client cancels after work begins, Design Review Ltd may charge for work completed and unavoidable committed costs. Cancellation of an activated digital product is subject to Design Review Ltd's written agreement and rights that cannot lawfully be excluded.
10. Professional nature and reliance
A governance review is a non-statutory professional assessment of the evidence made available at a defined point in time. It does not guarantee a planning, procurement, legal, organisational or commercial outcome. The report may be relied on only by the named client for the stated purpose; third-party reliance requires prior written agreement.
11. Liability
Subject to the exclusions below, Design Review Ltd's aggregate liability arising from a service will not exceed the fee paid for that service. It is not liable for indirect or consequential loss, loss of profit, revenue, opportunity, anticipated saving or reputation. Nothing limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be limited. Any separate written appointment may state a different cap aligned with the scope and professional indemnity cover.
12. Events outside reasonable control
Neither party is liable for delay or failure caused by an event outside its reasonable control, provided it gives prompt notice, takes reasonable steps to reduce the effect and resumes performance when practicable. If the event materially prevents delivery for more than 30 days, either party may terminate the affected service, with fees adjusted for work completed and unavoidable committed costs.
13. Law, jurisdiction and contact
